The Leadership Board is a community participation and engagement tool. In entering our Site, you are accepting our Terms and Conditions of Use. The Leadership Board is an associated trade name of Strategy Insights.

 (i)            These Terms and Conditions of Use apply to all legal relationships of The Leadership Board to the users of The Leadership Board Community at https://theleadershipboard.hivebrite.com and all sub-pages as well as applications. As a user, anyone who visits the website, registers on the website, downloads the app and / or concludes an agreement with The Leadership Board to use the website or app.

(ii)          Deviating user regulations do not apply, unless The Leadership Board has expressly confirmed this in writing. Individual agreements always have priority.

(iii)         The business relations between The Leadership Board and the user are subject to the law of England and Wales.

(iv)         The Leadership Board respects your privacy and is dedicated to protecting the privacy of those persons who use The Leadership Board services. The Leadership Board collects and processes personal data in accordance with our Privacy Policy and the applicable legal regulations.

Using the Community and Services of The Leadership Board

The Leadership Board endeavours to adapt the community to current market developments. The Leadership Board therefore reserves the right to change the agreed services.

The access and use of The Leadership Board Community portal, featuring these Terms and Conditions, constitutes your acceptance of these Terms and Conditions which take effect from the date on which you first use The Leadership Board Community.

In consideration of Your use of the Service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service’s registration form and (b) maintain and promptly update the Registration Information to keep it true, accurate, current and complete.

The Leadership Board reserves the right to change these Terms and Conditions at any time without notice. We may at any time revise these Terms and Conditions without notice. It is the users responsibility to regularly review the Terms and Conditions in case there are any changes. Continued use of The Leadership Board Community after a change has been made is your acceptance of the change.

Any material found on The Leadership Board Community, including text or images, may not be printed, copied, reproduced, republished, downloaded, posted, displayed, modified, reused, broadcast or transmitted in any way, except for your own personal use.

Registration Requirements

Visiting the website is free and possible without registration. For the active use of the community the user has to register on the website. The use of the app requires downloading and installation of the app.

After the initial registration, the user will receive an e-mail with a confirmation link. Only after confirming (double opt-in) will the customer account be activated. A customer account that is not confirmed within one week by the user clicking on the activation link can be deleted by The Leadership Board.

With the confirmation of the registration, a contract for the use of the community is concluded between The Leadership Board and the user (hereinafter: “User Agreement”).

The registration is only permitted to legally competent natural persons. Each user may only have one access; a transfer of access is not possible. Companies cannot register themselves.

The data requested by The Leadership Board upon registration must be complete and correct. Users must keep their access data secret. If the data changes subsequently, the users are obliged to correct the information immediately.

Account, Security and Password

Upon completing the Service’s registration process, you will receive a password and account designation. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account.

You agree to (a) immediately notify The Leadership Board Community of any unauthorised use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. The Leadership Board Community cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

Using the Community

We will grant You, as a Registered User, a non-exclusive limited license to use the software tools for the purpose specified in these Terms and Conditions of Use. For the avoidance of doubt, this software license may be terminated at any time in our absolute and sole discretion. We will not be liable for any loss of damage that you may suffer as a consequence of such termination.

Without limiting anything in any other rights or limitations in these Terms and Conditions of Use, for the avoidance of doubt the software tools are provided on ‘as is’ basis. We will not be responsible, whether in tort (including negligence), contract or otherwise for any breach whatsoever, so however caused.

We do not guarantee that the Service will be provided, nor do we guarantee its quality. We do not guarantee that The Leadership Board Community will be provided and then discontinued or terminated at any time without notice for any reason whatsoever. We do not provide any back-up facilities upon the creation of your User account and cannot be responsible for any loss or damage, including loss of data, whatsoever.

In participating in The Leadership Board Community you must not:

1.     Sell, lend or otherwise allow any other person to use the software tools who is not a registered user;

2.     Notify, sell of otherwise inform any third party of the email addresses or other personal information for any commercial purposes whatsoever;

3.     Send unsolicited emails, sometimes referred to as ‘Spam’, to any persons whatsoever;

4.     Distribute any material on the website that:

·      infringes any intellectual property rights or is in breach of law, statute or regulation;

·      is defamatory, libellous, unlawfully threatening, harassing, obscene, pornographic or indecent; or

·      contains any viruses or other computer programmes intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any personal information.

We will have no liability for the contents of, any communications transmitted by virtue of the Services. You will dully indemnify Us from any breach by You whether it be contact, tort or otherwise, including any breach of any third party intellectual property rights. We provide no guarantee whatsoever as to quality of the service or whether a service be provided at all.

Intellectual Property

The names, images and logos identifying The Leadership Board Community, third parties and their information, products and services are proprietary marks of The Leadership Board Community, and/or third parties. Nothing contained herein shall be construed as conferring by implication or otherwise any license or right under any trademark or patent of The Leadership Board Community or any other third party.

The copying and use of The Leadership Board Community logo, or any other third-party logos accessed via The Leadership Board Community are not permitted without prior approval from the copyright owner.

Copyright

All rights (copyright, trademarks and other proprietary rights) to the database, the database and the content, data and other elements are exclusively owned by The Leadership Board; any rights of users to the content they have posted remain unaffected.

No user may use the data obtained via The Leadership Board in whole or in part:

i)              to build up your own database in any media form,

ii)             for a commercial exploitation or disclosure of information or

iii)           for any other commercial use.

General Conduct Obligation of Users

(i)            The information provided by users on the website is occasionally checked by The Leadership Board. Should The Leadership Board become aware that a user is violating these Terms and Conditions of Use or any legal requirements, the illegal content will be removed immediately and / or access will be blocked.

(ii)          The user alone is responsible for ensuring that they have all rights with regard to the content they publish and that no rights of third parties are thereby infringed. Each user grants The Leadership Board irrevocably and gratuitously the right to use and exploit the content provided by him / her on the website by posting content and photos in terms of space, time and content.

(iii)         Should The Leadership Board learn of a violation of the above provisions, The Leadership board reserves the right to change or delete the published content. Each user is obliged to inform The Leadership Board immediately if there are indications that their access has been abused. Each user is basically liable for all activities that are carried out using his access and indemnifies The Leadership Board from any claims for damages from third parties, unless the user is not responsible for the abuse.

Duration of the Contract of Use & Termination

The duration of registration is dependant on a users subscription. A user may terminate their subscription at any time. Each termination must be in text form (e-mail).

The Leadership Board is entitled to delete inactive users. A user is considered inactive if they have not visited or used the website for more than three months and does not react to the subsequent announcement of the deletion by e-mail within one week.

We allow you onto The Leadership Board Community in return for you agreeing not to adapt, alter or create any derivate work from any of the material contained in this site.

You agree to use this site only for lawful purposes, and in a manner, that does not infringe the right of, or restrict or inhibit the use and enjoyment of this site by any third party. Such restriction or inhibition includes, without limitation, conduct which is unlawful, or which may harass or cause distress or inconvenience to any person, and the transmission of obscene or offensive content or disruption of normal flow of dialog within this site.

You are prohibited from posting or transmitting any unlawful, defamatory, obscene, offensive or scandalous material, or any material that constitutes or encourages conduct that would be considered a criminal offence, likely to give rise to civil liability, or otherwise violates any law. We will fully co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting any such information or materials on The Leadership Board Community.

Your authorisation to use The Leadership Board Community automatically terminates without notice if, at our sole discretion, you fail to comply with any of the Terms and Conditions. On termination, you must cease all use of The Leadership Board Community and destroy all materials copied directly or indirectly from The Leadership Board Community. This does not limit our right to terminate at any time for any reason whatsoever.

You are responsible for obtaining access to the Service and that access may involve third party fees (such as Internet service provider or airtime charges). In addition, you must provide and are responsible for all equipment necessary to access the Service.

Virus Protection

We make every effort to check and test material at all stages of production. It is always wise for you to run an anti-virus program on all material downloaded from the Internet. We cannot accept responsibility for any loss, disruption or damage to your data or your computer system which may occur whilst using material off The Leadership Board Community.

Supply of Information

Any communication or information transmitted by you as a registered user (registered means personal information entered by you for security and registrations purposes) on The Leadership Board Community by electronic mail or otherwise shall be treated as proprietary and confidential.

Any communication or information transmitted by you as a user with general public access and/or anonymous access to The Leadership Board Community by electronic mail or otherwise will be treated as non-proprietary and non-confidential. Anything transmitted by you may be used by us for any purpose, including, without limitation, broadcast, transmission, publication, reproduction, disclosure, posting and any other use whatsoever.

The Leadership Board Community web server may automatically recognise the domain name and e-mail address (where possible) of users of our websites.
